By accessing or using SubTools ("the Service," "we," "our," or "us") at subtools.cc, you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to all of these Terms, please do not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least the age of majority in your country of residence or have obtained parental consent to use the Service.

2. Description of Service

SubTools provides free online subtitle editing, conversion, cleanup, translation, and utility tools. All tools process files entirely in the user's browser using client-side JavaScript. We do not store, access, transmit, or have the ability to view user content processed through our tools.

The Service includes, but is not limited to: subtitle format conversion (SRT, VTT, ASS, SUB, TXT, JSON), subtitle cleanup (removing duplicates, empty lines, speaker names, sound effects), timing tools (delay, sync, FPS conversion, gap fixing), editing tools (online editor, preview, search and replace), translation tools, OCR cleanup tools, creator tools (YouTube, TikTok formatters), and developer utilities.

3. User Responsibilities

You agree to use the Service in compliance with all applicable laws, regulations, and these Terms. Specifically, you agree not to:

Use the Service for any illegal, fraudulent, or unauthorized purpose
Attempt to disrupt, degrade, or impair the functionality of the Service
Upload or process content that infringes on the intellectual property rights of others
Use automated tools, bots, or scripts to access the Service in ways that exceed normal human usage
Attempt to reverse engineer, decompile, or extract the source code of the Service
Use the Service to distribute malware, viruses, or other harmful code
Interfere with other users' access to or use of the Service

You are solely responsible for the content you process through our tools and for ensuring that you have the necessary rights and permissions to use and modify that content.

4. Intellectual Property

The Service, including its code, design, layout, graphics, logos, and original content, is owned by SubTools and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of the Service without our express written permission.

User Content: You retain all rights to your subtitle files and any content you process through our tools. We do not claim any ownership over your content. Since all processing happens client-side, we never have access to your files.

5. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Service, you agree to the practices described in the Privacy Policy.

6. Third-Party Services and Advertising

The Service may display advertisements provided by Google AdSense. These advertisements may use cookies and web beacons to serve ads based on your interests. We are not responsible for the content or practices of third-party advertisers.

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of these third parties. Your use of third-party services is at your own risk.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUBTOOLS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Service will be uninterrupted, error-free, secure, or free from viruses
Warranties regarding the accuracy, reliability, or completeness of any content or results produced by the tools

We make no guarantee that subtitle output will be error-free or suitable for your specific use case. Users should always review processed subtitles for accuracy, especially when using automated conversion or cleanup tools.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUBTOOLS AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. THIS INCLUDES, BUT IS NOT LIMITED TO:

Loss of data, content, or business profits
Costs of procuring substitute services
Damages resulting from errors, omissions, or inaccuracies in processed subtitles
Damages arising from service interruptions or downtime

Our total liability for any claim arising from these Terms or the Service shall not exceed one US dollar ($1.00). Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless SubTools and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:

Your use of the Service in violation of these Terms
Your violation of any applicable law or regulation
Your infringement of any third-party rights, including intellectual property rights
Any content you process through the Service

10. Service Availability and Modifications

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. We reserve the right to:

Modify, suspend, or discontinue any part of the Service at any time without notice
Impose limits on certain features or restrict access to parts of the Service
Update these Terms at any time by posting the revised version on this page

We will provide notice of material changes to these Terms by updating the "Last updated" date at the top of this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

11. Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Since we do not store user content, no data retrieval is necessary.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SubTools regarding your use of the Service. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
